The candidate will work with the Chief Corporate Counsel in handling MA transactions, corporate governance matters and special projects. Will draft and/or review legal documentation for MA transactions, including confidentiality agreements, engagement letters and bid letters. Work with Corporate Development, business unit attorneys and various business people (credit, finance, marketing, operations, etc.) in coordinating and conducting MA due diligence. Work with Chief Corporate Counsel and outside counsel to negotiate the legal aspects of major transactions and assist business people in negotiating the business aspects of transactions. Work with regulatory counsel, Corporate Development and business people to prepare for transaction closings. Research and analyze legal issues to ensure compliance with laws, statutes, regulations, rulings and business terms to protect the legal interests of firm. Work with business people on corporate governance matters. Work with the Chief Corporate Counsel to support the General Counsel in corporate secretarial matters; and review, advise, draft and negotiate a variety of commercial contracts and other legal documents, and provide practical legal and business advice with regard to a wide variety of issues involved in corporate operations, including corporate governance, real estate, information technology, intellectual property, data protection and privacy, security, and corporate compliance matters.

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
